Since 30 April 2016, the rigours of the Act on shaping the agricultural system have been extended to cover, inter alia, trading in shares in companies. Pursuant to the provision of Article 3a(1) of the Act, the National Support Centre for Agriculture acting on behalf of the State Treasury has the right of first refusal to purchase shares in a company which is the owner or a perpetual usufructuary of an agricultural real estate with an area of at least 5 ha or an agricultural real estate with a total area of at least 5 ha. The amendment of the aforementioned Act introduced by the Act of 26 April 2019 amending the Act on shaping the agricultural system and some other acts, is clause 3a added to Article 3a, under which, in the event that shares are encumbered with the right of pledge and the payment of the price is already due, the National Support Centre for Agriculture must pay the price within 14 days from the date of receipt of a notice on the expiry of the pledge. This solution results in consequences not foreseen by the legislator, in some cases preventing receipt of the price for shares from the Centre. This restriction affects the payment of the price and raises serious doubts as to its compliance with the Constitution of the Republic of Poland, since it may lead to a situation where shares are taken over without due compensation paid.;
A partire dal 30 aprile 2016, nella legge sul regime agrario è stata inclusa, tra le altre, la questione di negoziazione di azioni e quote delle società di capitali. Ai sensi dell’art. 3a comma 1 al Centro nazionale per il sostegno all’agricoltura, che agisce a beneficio del Tesoro di Stato, spetta il diritto di prelazione su quote e azioni di una società di capitali che è proprietario o usufruttuario perpetuo sia di un terreno agricolo da una superficie di almeno 5 ettari sia dei terreni agricoli da una superficie totale di almeno 5 ettari. Con la modifica della legge evocata, introdotta grazie alla legge del 26 aprile 2019 (che cambia la legge sul regime agrario e alcune altre leggi), all’art. 3a è stata aggiunta la sezione 3a, secondo la quale, nel caso in cui le quote o azioni siano gravate dal diritto di pegno, il Centro nazionale esegue il saldo entro 14 giorni dalla data in cui riceve l’avviso di scadenza dello stesso, a condizione che il pagamento sia già dovuto. Una tale soluzione porta a produrre degli effetti non previsti dal legislatore, in alcuni casi diventa addirittura impossibile poter ricevere il saldo dovuto da parte del Centro. Inoltre, il vincolo in oggetto porta a sollevare seri dubbi sulla conformità alla Costituzione della Repubblica di Polonia, in quanto può crearsi una situazione in cui chi subentra nella proprietà di quote (azioni) può sottrarsi dal pagare.;
Od 30 kwietnia 2016 r. rygorami ustawy o kształtowaniu ustroju rolnego objęto również obrót akcjami i udziałami spółek kapitałowych. Zgodnie z przepisem art. 3a ust. 1 u.k.u.r. Krajowemu Ośrodkowi Wsparcia Rolnictwa działającemu na rzecz Skarbu Państwa przysługuje prawo pierwokupu udziałów i akcji w spółce kapitałowej, która jest właścicielem lub użytkownikiem wieczystym nieruchomości rolnej o powierzchni co najmniej 5 ha albo nieruchomości rolnych o łącznej powierzchni co najmniej 5 ha. Nowelizacją u.k.u.r. wprowadzoną w drodze ustawy z 26 kwietnia 2019 r. o zmianie ustawy o kształtowaniu ustroju rolnego oraz niektórych innych ustaw dodano do art. 3a ust. 3a, zgodnie z którym w przypadku, gdy udziały lub akcje są obciążone prawem zastawu, Krajowy Ośrodek dokonuje zapłaty ceny w terminie 14 dni od dnia otrzymania zawiadomienia o wygaśnięciu zastawu, o ile zapłata ceny jest już wymagalna. Rozwiązanie to powoduje nieprzewidziane przez ustawodawcę skutki, w pewnych wypadkach uniemożliwiając otrzymanie ceny za udziały od KOWR. Tego rodzaju ograniczenie w zapłacie ceny budzi również wątpliwości co do zgodności z Konstytucją RP, gdyż może prowadzić do przejęcia własności udziałów (akcji) bez wynagrodzenia.
