  On February 5, 2018, the Government Legislation Centre published another version of the bill on the amendment of the Commercial Companies Code and some other acts (bill number – UD117). Its author is the Minister of Justice of the RP. With its entry into force in January 2020, the possibility of issuing shares in documentary form by private (non-public) joint-stock company will disappear. Thus, the dematerialization of shares in a private (non-public) joint-stock company will become an axiom under the Polish law system. The basic legislative solutions provided in the bill are in fact breakthrough. Therefore, it is worth taking a closer look at the dematerialisation of shares of the private (non-public) joint-stock companies in Polish law.;
  Dnia 5 lutego 2018 r. Rządowe Centrum Legislacji upubliczniło kolejną wersję projektu ustawy o zmianie ustawy – Kodeks spółek handlowych oraz niektórych innych ustaw (numer projektu UD117). Autorem przedłożenia jest minister sprawiedliwości RP. Warto przyjrzeć się postulowanej regulacji. Wraz z jej wejściem w życie w styczniu 2020 r. odpadnie bowiem możliwość emitowania przez prywatne (niepubliczne) spółki akcyjne akcji w formie dokumentowej. Tym samym dematerializacja akcji prywatnej (niepublicznej) spółki akcyjnej stanie się aksjomatem w systemie prawa polskiego. Przewidziane w projekcie rozwiązania legislacyjne o charakterze kardynalnym mają w istocie charakter przełomowy. Dlatego warto zająć się kwestią dematerializacji akcji prywatnych (niepublicznych) spółek akcyjnych w prawie polskim.
