The long-awaited latest amendment to the Code of Commercial Companies that regulates holding law, should be subjected to a critical assessment, in which are helpful the principles of the Austrian school of economics. Analyzing the current act, comments and literature of the Austrian school, it can be seen that the regulation from Section IV of the Code of Commercial Companies contains many unnecessary and too intrusive provisions, at the same time including incomplete provisions. A remedy could be the introduction of an obligation to adopt a resolution by the shareholders’ meeting of companies included in the holding, in which the indicated issues would be individually regulated – such a solution would reflect the practical and dynamic nature of commercial law.;
Najnowsza nowelizacja Kodeksu spółek handlowych wzbogaca polskie prawo handlowe o regulację działalności holdingów. Długo wyczekiwane przepisy należy poddać krytycznej ocenie, w której przeprowadzeniu pomocne są zasady austriackiej szkoły ekonomii – nurtu w ekonomii wskazującego na zbędność państwowej ingerencji m.in. w obrót handlowy. Analizując aktualnie obowiązującą ustawę, komentarze oraz literaturę szkoły austriackiej, można zauważyć, że regulacja z Działu IV k.s.h. zawiera wiele niepotrzebnych przepisów, a jednocześnie obejmuje przepisy niepełne. Remedium na zbyt duży interwencjonizm ustawodawcy w ustrój grupy spółek oraz brak precyzji określonych artykułów mogłoby stanowić wprowadzenie obowiązku sporządzenia oraz podjęcia uchwały, np. przez zgromadzenia wspólników spółek wchodzących do holdingu, w której indywidualnie uregulowano by kwestie aktualnie ujęte w Dziale IV – takie rozwiązanie oddawałoby w najpełniejszym stopniu praktyczny i dynamiczny charakter prawa handlowego.
