  The article concerns the issue of sanctions which should be linked with the lack of the shareholder’s consent for the adoption of a resolution in cases specified in Article 246 § 3 of the Commercial Companies Code (CCC), Article 30098 § 3 of CCC and Article 415 § 3 of CCC. Although the issue of obtaining of the consent is of particular importance from the point of view of the protection of shareholder rights in the company, the views presented in this regard by the representatives of the doctrine of commercial law are extremely divergent. The conducted analysis leads to the conclusion that the ineffectiveness of such a resolution must be suspended until the consent of all shareholders is obtained. The lack of consent of any shareholder, or the expiration of the time limit for granting such consent, should result in the resolution becoming definitively ineffective. It should be considered acceptable to set a time limit for shareholders to express their consent, and such a time limit could be set in the articles of association or in the resolution itself, as well as after the resolution is passed, by the company itself in accordance with the rules of its representation. The natural time limit within which consent must be expressed is the date by which the amendment to the articles of association should be registered.;
  Artykuł porusza kwestię sankcji, jaką należy powiązać z brakiem uzyskania zgody wspólnika na podjęcie uchwały w przypadkach wskazanych w Kodeksie spółek handlowych (k.s.h.): art. 246 § 3 k.s.h., art. 30098 § 3 k.s.h. i art. 415 § 3 k.s.h. Poglądy prezentowane w tym zakresie przez przedstawicieli doktryny prawa handlowego są skrajnie rozbieżne. Kwestia uzyskania zgody wspólnika pozostaje natomiast kwestią szczególnie istotną z punktu widzenia ochrony przysługujących mu praw w spółce. Przeprowadzona analiza prowadzi do konieczności akceptacji stanowiska o bezskuteczności względnej takiej uchwały do chwili uzyskania zgody wszystkich wspólników. Brak zgody wspólnika lub bezskuteczny upływu terminu wyznaczonego na udzielenie zgody przez wspólników oznaczać powinien natomiast definitywną bezskuteczność uchwały. Za dopuszczalne uznać bowiem należy wyznaczenie wspólnikom terminu na wyrażenie zgody, przy czym termin taki może zostać wyznaczony już w umowie spółki, samej uchwale, jak również po podjęciu uchwały przez samą spółkę zgodnie z zasadami jej reprezentacji. Naturalną granicą wyznaczającą termin, do którego zgody muszą zostać wyrażone, wyznacza termin, w jakim powinno dojść do rejestracji zmiany umowy spółki.
